No, we only do medical transcription assignments.
How is line-count in a report calculated?
A line in billing terms consists of 65 characters/keystrokes, including spaces and carriage returns.
Line count is calculated by dividing the total number of characters in a report by 65.
Is there a contract or minimum usage requirement?
There is no contract. You can cancel any time.
How do I get charged?
Services are billed at the end of each month and charged to your credit card on file.
How do I add users of my Practice?
Sign in using your administrator user-ID to manage user accounts. It is recommended not to share a single user-ID between more than one person for security and auditing purposes. Each user will be assigned a unique user-ID to use online and app.
How complex is switching to your system?
OvernightScribe online system is extremely user friendly and self-explanatory. You can Sign Up and start using our system immediately.
How do I dictate?
Use Accent App (iOS & Android) to record dictations and upload via WiFi.
How do I contact support?
OvernightScribe comes with a built-in messaging system through which you could contact support team any day of the week. Our average response window is 0.5-1 hour during work-hours and 4-8 hours during off-hours, weekends and holidays.
What are the system requirements?
To dictate, you could use any latest Android or Apple phone (also iPad and iPod).
To access notes and manage other aspects of your account, you could use any modern web browser that supports HTML5 and TLS1.2.
How secure are my documents?
We have adopted the latest security practices in networking and data storage to ensure data security during transmission, transcription and during storage. We constantly update our systems to integrate the latest technological advances.
How are transcriptions delivered to me?
Your dictations are transcribed in a format according to your specifications (you may send samples) and delivered via the online system. You can log in to the online system anytime and review completed transcriptions. Once a report has been reviewed and approved, it can then be exported, emailed, printed or faxed at your convenience.
Transcribed notes can be exported as plain text file or in PDF, RTF or Word format. If you choose to include custom letterheads and signatures (uploaded as image files), that would be incorporated into templates and hence be included in PDF/RTF output files.
Can I automate Approval & Delivery?
Yes, you can automate the entire process of approval and delivery (such as email) by setting approval parameters for each user.
Can I edit transcribed reports?
Yes, you can edit your reports online any time. All access (print, download, send, edit) to reports are logged.
What is a Report Template?
Report Template is the layout and content of a particular report type. You can create an unlimited number of templates with your choice of fields and layout. While dictating you can specify the template that you prefer to transcribe into.
How long are my reports are archived?
All approved reports are archived according to the plan you choose (ie 1 month, 6 months etc). The search-enabled archive is very convenient to track your records.
Can I update account and user profiles?
Yes, using your practice's administrative user-ID you can manage user accounts.
Can I review my activities?
The online system is equipped with a comprehensive reporting tool to show your activities on a monthly or yearly basis.
Can I review my account status?
Your account statements, invoices and payment information are available online.
Service Agreement
OVERNIGHTSCRIBE Medical Transcription Service
This Service Agreement ("Agreement") is entered into as of the date of acceptance ("Effective Date") between WEBAHN INC, a Michigan corporation ("Company" or "Provider"), and the physician or medical practice entity that accepts these terms ("Physician" or "User").
1. SERVICE DESCRIPTION
1.1 Service Overview. Company provides OVERNIGHTSCRIBE, an online medical transcription platform enabling Physicians to record, upload, and receive transcribed medical dictations via mobile applications (iOS and Android) and web portal.
1.2 Core Features. The Service includes:
- Secure account creation and password-protected access
- Mobile and web-based dictation recording and upload
- Professional transcription services
- Delivery of transcribed notes via mobile app and website
- Export capabilities in PDF, Text, and RTF formats
- Fax and email delivery options
- HIPAA-compliant infrastructure and operations
1.3 Service Availability. Company aims to provide 24/7 service availability but does not guarantee uninterrupted service. Scheduled maintenance may occur with reasonable notice.
2. HIPAA COMPLIANCE
2.1 HIPAA Commitment. Company is a HIPAA-covered entity and Business Associate. All services comply with the Health Insurance Portability and Accountability Act (HIPAA), 45 CFR Parts 160 and 164, and the HITECH Act.
2.2 Business Associate Agreement. A separate Business Associate Agreement (BAA) is incorporated herein by reference and executed concurrently with this Agreement. In the event of conflict, the BAA controls regarding HIPAA matters.
2.3 Protected Health Information (PHI). Physician acknowledges that dictations contain PHI. Physician shall not upload any information not necessary for transcription services and shall comply with all HIPAA requirements regarding PHI handling.
2.4 Security Obligations. Physician shall maintain password confidentiality, use secure networks when accessing the Service, and immediately notify Company of any suspected unauthorized access or security breach.
3. ACCOUNT SETUP AND CREDENTIALS
3.1 Account Creation. Physician must complete registration, provide accurate information, and establish a username and password. Physician is responsible for maintaining password confidentiality.
3.2 Payment Information. During sign-up, Physician must provide valid credit card information. Physician authorizes Company to charge the credit card according to the pricing schedule in Section 4.
3.3 Account Responsibility. Physician is solely responsible for all activity under their account credentials. Physician shall not share login credentials and shall notify Company immediately of unauthorized access.
3.4 Account Termination. Physician may terminate their account by written notice. Company may terminate accounts for non-payment, breach of this Agreement, or violation of law.
4. FEES AND PAYMENT
4.1 Pricing Structure. Charges consist of:
- Monthly per-user seat fee (per licensed physician user)
- Usage-based fees per transcribed dictation minute or word count (as specified in pricing schedule provided at sign-up)
4.2 Billing Cycle. Charges are billed monthly. Billing occurs on the last day of each month.
4.3 Payment Method. Company charges the credit card on file automatically each billing cycle. Physician is responsible for updating payment information if the card expires or is declined.
4.4 Failed Payments. If payment fails, Company will attempt recharge within 5 business days. If payment remains unsuccessful after 10 days, Company may suspend service until payment is received.
4.5 Price Changes. Company may modify pricing with thirty (30) days' written notice. Continued use after notice constitutes acceptance of new pricing.
4.6 No Refunds. All fees are non-refundable except as required by law. Unused monthly allowances do not carry over.
4.7 Taxes. Physician is responsible for all applicable sales, use, and other taxes. Company will collect taxes where required by law.
5. ACCEPTABLE USE POLICY
5.1 Permitted Use. The Service is for legitimate medical transcription purposes only. Physician shall not:
- Upload non-medical content or content unrelated to patient care
- Attempt to reverse-engineer, hack, or gain unauthorized access
- Use the Service for illegal purposes or to violate third-party rights
- Transmit malware, viruses, or harmful code
- Interfere with Service operations or other users' access
- Resell or redistribute the Service without authorization
5.2 Content Restrictions. Physician shall not upload content containing profanity, hate speech, or discriminatory material unrelated to legitimate medical documentation.
5.3 Monitoring. Company reserves the right to monitor Service usage for security, compliance, and quality assurance purposes.
6. INTELLECTUAL PROPERTY
6.1 Company IP. All software, platforms, algorithms, and materials comprising the Service are Company's exclusive property. Physician receives a limited, non-exclusive license to use the Service solely as authorized herein.
6.2 Physician Content. Physician retains ownership of dictations and medical notes uploaded. Physician grants Company a license to use such content solely to provide transcription services and comply with legal obligations.
6.3 Feedback. Any feedback or suggestions Physician provides may be used by Company without compensation or attribution.
7. CONFIDENTIALITY AND DATA SECURITY
7.1 Confidentiality. Both parties shall maintain confidentiality of proprietary information disclosed under this Agreement, except as required by law or with written consent.
7.2 Data Security. Company implements industry-standard security measures including encryption, access controls, and regular security assessments. However, no system is completely secure. Company is not liable for unauthorized access resulting from Physician's failure to maintain password security.
7.3 Data Retention. Company retains transcribed notes according to the retention schedule specified in the Service documentation, typically during an account is active. Audio files will be retained for a maximum of 180 days.
7.4 Data Breach Notification. If Company discovers unauthorized access to PHI, Company shall notify Physician without unreasonable delay and cooperate with breach notification requirements.
8. LIMITATION OF LIABILITY
8.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.2 Limitation of Damages. EXCEPT FOR BREACHES OF CONFIDENTIALITY OR HIPAA VIOLATIONS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, EVEN IF ADVISED OF SUCH POSSIBILITY.
8.3 Cap on Liability. COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED FEES PAID BY PHYSICIAN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.4 Physician Responsibility. Physician is responsible for reviewing transcriptions for accuracy before clinical use. Company does not guarantee 100% transcription accuracy and is not liable for transcription errors or their consequences.
9. INDEMNIFICATION
9.1 Physician Indemnity. Physician shall indemnify, defend, and hold harmless Company from claims arising from: (a) Physician's use of the Service in violation of this Agreement; (b) Physician's violation of law; (c) Physician's PHI or content; or (d) Physician's breach of third-party rights.
9.2 Company Indemnity. Company shall indemnify Physician from claims that the Service infringes third-party intellectual property rights, provided Physician complies with this Agreement.
10. TERM AND TERMINATION
10.1 Term. This Agreement begins on the date of sign-up and continues month-to-month unless terminated.
10.2 Termination by Physician. Physician may terminate with thirty (30) days' written notice. Termination is effective at the end of the current billing cycle.
10.3 Termination by Company. Company may terminate immediately for: (a) non-payment after 15 days' notice; (b) material breach not cured within 30 days of notice; (c) violation of law; or (d) HIPAA violations.
10.4 Effect of Termination. Upon termination, Physician's access ceases immediately. Company shall provide Physician's data in standard format within thirty (30) days upon request, subject to outstanding fees.
11. REPRESENTATIONS AND WARRANTIES
11.1 Physician Representations. Physician represents that: (a) they are a licensed physician authorized to use the Service; (b) they have authority to enter this Agreement; (c) all information provided is accurate; and (d) they will comply with all applicable laws.
11.2 Company Representations. Company represents that it is duly organized, validly existing, and authorized to enter this Agreement.
12. GENERAL PROVISIONS
12.1 Governing Law. This Agreement is governed by Michigan law without regard to conflicts of law principles.
12.2 Dispute Resolution. Disputes shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, either party may pursue legal remedies in Michigan state or federal courts.
12.3 Entire Agreement. This Agreement, including the BAA, constitutes the entire agreement and supersedes all prior understandings.
12.4 Amendments. Company may amend this Agreement with thirty (30) days' notice. Continued use constitutes acceptance.
12.5 Severability. If any provision is unenforceable, remaining provisions continue in effect.
12.6 Assignment. Neither party may assign this Agreement without written consent, except Company may assign to successors.
12.7 Notices. Notices shall be in writing via application messaging system, email (for Physician) or email/certified mail (for Company).
12.8 Waiver. Failure to enforce any provision does not constitute waiver of that provision.
12.9 Relationship. The parties are independent contractors. No partnership, joint venture, or employment relationship exists.
